Please read these terms carefully before using the Uflorecer platform. By accessing or using our services, you agree to be bound by these terms.

1. Service Description
About Uflorecer
Uflorecer is an AI-powered business management platform operated by Merchants Hoard Limited ('we', 'us', 'our'), a company registered in England and Wales. The platform provides integrated tools for content creation, social media management, customer relationship management, lead generation, scheduling, analytics, AI-powered automations (via the Lotus AI engine), and an AI copilot assistant (Petal).
Service tiers
We offer multiple subscription tiers including free, professional, and enterprise plans. Each tier provides different levels of access to platform features, AI capabilities, storage, and support. Details of current plans and pricing are available on our Pricing page. We reserve the right to modify our service offerings, features, and pricing with reasonable notice.
Beta and experimental features
From time to time, we may offer beta or experimental features. These are provided 'as is' without warranty and may be modified or discontinued without notice. Your use of beta features is at your own risk.
2. Eligibility and Account Responsibilities
Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. If you are using Uflorecer on behalf of a business or organisation, you represent that you have the authority to bind that entity to these terms.
Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at security@uflorecer.com of any unauthorised use of your account. We are not liable for any loss arising from your failure to protect your account credentials.
Acceptable use
You agree to use Uflorecer in compliance with all applicable laws and regulations. You shall not: use the platform to distribute malware, spam, or harmful content; attempt to reverse-engineer, decompile, or extract source code from our software; use automated tools to scrape or extract data from our platform; impersonate another person or entity; or use the platform for any unlawful, fraudulent, or malicious purpose.
User content
You retain ownership of all content you upload, create, or generate through the platform ('User Content'). By using our services, you grant us a limited, non-exclusive licence to process, store, and display your User Content solely for the purpose of providing and improving our services. We do not claim ownership of your content.
3. Intellectual Property
Our intellectual property
The Uflorecer platform, including all software, designs, logos, trademarks (including 'Uflorecer', 'Lotus AI', and 'Petal'), documentation, and content created by us, is the exclusive property of Merchants Hoard Limited and is protected by intellectual property laws of England and Wales and international treaties. Nothing in these terms grants you any rights to our intellectual property except the limited licence to use the platform as described herein.
AI-generated content
Content generated by our AI tools (Lotus AI and Petal) using your inputs is considered your User Content, subject to applicable law. However, we make no guarantee that AI-generated content will be unique or will not infringe third-party rights. You are responsible for reviewing and ensuring the appropriateness of any AI-generated content before publication or use.
Feedback
If you provide us with suggestions, ideas, or feedback about our services, you grant us a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such feedback into our platform and services without any obligation to you.
4. Payment and Billing
Subscription fees
Paid plans are billed in advance on a monthly or annual basis, as selected at the time of subscription. All fees are quoted in GBP unless otherwise stated and are exclusive of VAT, which will be added where applicable. We use Stripe as our payment processor, and you agree to Stripe's terms of service when providing payment details.
Renewal and cancellation
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. We do not provide pro-rata refunds for partial billing periods.
Price changes
We may adjust our pricing with at least 30 days' written notice. Price changes will take effect at the start of your next billing period following the notice. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.
5. Limitation of Liability
Service availability
We strive to maintain high availability but do not guarantee uninterrupted, error-free, or secure access to the platform. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or service interruptions caused by circumstances beyond our reasonable control, including third-party service failures, internet connectivity issues, or force majeure events.
Limitation of liability
To the maximum extent permitted by applicable law, Merchants Hoard Limited's total aggregate liability to you for any claims arising from or related to these terms or your use of the platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
Indemnification
You agree to indemnify and hold harmless Merchants Hoard Limited, its directors, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from your breach of these terms, your use of the platform, or your User Content.
6. Disclaimers and Warranties
As-is basis
The platform is provided on an 'as is' and 'as available' basis. Except as expressly set out in these terms, we make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will meet your specific requirements or achieve any particular results.
AI accuracy
While we strive for accuracy, our AI tools (including Lotus AI and Petal) may produce outputs that are inaccurate, incomplete, or inappropriate. You acknowledge that AI-generated content should be reviewed before use and that we are not liable for any decisions made or actions taken based on AI outputs.
7. Termination
Termination by you
You may close your account and terminate these terms at any time by contacting us at support@uflorecer.com or through your account settings. Upon termination, your right to access the platform ceases immediately (or at the end of your current billing period for paid accounts).
Termination by us
We may suspend or terminate your account immediately if you breach these terms, engage in fraudulent or illegal activity, or pose a risk to other users or the integrity of the platform. We may also terminate accounts that have been inactive for more than 12 consecutive months, following 30 days' notice.
Effect of termination
Upon termination, you may request an export of your User Content within 30 days. After this period, we may delete your data in accordance with our Privacy Policy. Provisions of these terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.
8. Changes to These Terms
Modifications
We reserve the right to update these terms at any time. We will notify you of material changes via email or through the platform at least 14 days before they take effect. Your continued use of the platform after changes take effect constitutes acceptance of the updated terms. If you do not agree with any changes, you should discontinue use and close your account.
9. Governing Law and Disputes
Governing law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Dispute resolution
Before initiating formal proceedings, you agree to attempt to resolve any dispute by contacting us at legal@uflorecer.com. We will make reasonable efforts to resolve the matter informally within 30 days. If informal resolution is not possible, either party may proceed with formal legal proceedings.
Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire agreement
These terms, together with our Privacy Policy, Cookie Policy, and any service-specific terms, constitute the entire agreement between you and Merchants Hoard Limited regarding your use of the Uflorecer platform and supersede all prior agreements, representations, and understandings.
